I agree to treat all information with strict confidentiality. I agree not to discuss, share, or distribute in any way information provided by in-person participants or their identities. RELEASE AND WAIVER OF LIABILITY AND INDEMNITY AGREEMENT

By participating in the webcast, I hereby acknowledge that Michael Hayes, Alisha Hayes and Awake To Love, Inc., (“ATL”, “us”, “our”, “we”) are not licensed therapists or medical doctors. Events, seminars, workshops, webcasts, sharing’s and any other communications (collectively, “Educational Information”) in any form are not intended to diagnose, treat, or cure any medical or psychological condition. The Educational Information is offered for educational purposes only and is not a substitute for counseling or treatment. No professional diagnosis is implied or administered. Use of the Educational Information is entirely at your own risk and provided “as is”, without warranty of any kind, either express or implied.

INDEMNIFICATION
I hereby agree to indemnify, protect, defend and hold ATL, and its directors, officers, employees, volunteers, licensors, licensees, successors, distributors, agents, assigns, representatives and each of their respective directors, officers, employees, volunteers, licensors, licensees, successors, distributors, agents, assigns, representatives and other authorized participants (collectively, the “Indemnified Parties”) harmless from and against any cost, loss, damage, expense, claim, any liability for any reason, including any negligence, caused by or arising out of my use of the Educational Information or any other person(s) or entities I allow to use the Educational Information, suffered or incurred by any of the Indemnified Parties arising out of or in connection with this agreement or Educational Information, including, without limitation, settlement costs and legal or other fees and expenses. I shall use my best efforts to cooperate with us in the defense of any claim. We reserve the right, at our own expense, to employ separate counsel and assume the exclusive defense and control of the settlement and disposition of any claim that is subject to indemnification by you.

LIMITATION OF LIABILITY
I agree and acknowledge that in no case shall ATL be liable for any special, indirect, incidental, consequential, punitive, or exemplary damages, including but not limited to lost profits, business interruption, loss of data, or cost of cover, even if I allege that the ATL foresaw or had knowledge of the possibility of such damages. Notwithstanding the foregoing, I agree and acknowledge that ATL’s aggregate liability in connection with the Educational Information provided shall never exceed the total fee paid for the Educational Information presented to me by ATL. The limitations of liability in this section shall not apply to violations of law, intentional intellectual property infringements, or acts of gross negligence or willful misconduct by ATL.

APPLICABLE LAW AND DISPUTES
This agreement will be governed by the laws of the United States of America and the State of California. Any dispute relating in any way shall be submitted to confidential binding arbitration in Los Angeles County, California, United States of America. Arbitration under this agreement shall be conducted under the rules of the prevailing JAMS/ENDISPUTE Streamlined Arbitration Rules and Procedures in effect at the time of filing of the demand for arbitration. The arbitrator’s award shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under this agreement shall be joined to an arbitration involving any other party subject to this agreement, whether through class arbitration proceedings or otherwise. If any part of this agreement is held invalid by any arbitrator or court of competent jurisdiction, then the remaining provisions will nevertheless remain in full force and effect.

Participation in the Educational Information is evidence of my agreement to this RELEASE AND WAIVER OF LIABILITY AND INDEMNITY AGREEMENT.
